Terms of business
Effective date: 10 October 2026
These terms apply when LGR Labs Ltd supplies websites, automation, AI services, apps, software, hosting or support. Together with the written quote or proposal you accept (the quote), they form our contract. If the quote says something different from these terms, the quote wins for that project.
Our services are designed for businesses. If you are buying as a consumer, for purposes outside your trade or profession, section 16 gives you additional rights, and nothing in these terms takes away rights the law gives you.
1. Who we are
LGR Labs Ltd (“we”, “us”), a private limited company registered in England and Wales, company number 17511153, registered office 167–169 Great Portland Street, 5th Floor, London W1W 5PF, United Kingdom. Email: enquiries@lgrlabs.com. “You” means the business or person named in the quote.
2. Quotes and how the contract starts
- Our quotes are fixed for the scope they describe and valid for 30 days.
- The contract starts when you accept the quote in writing (an email is enough) or pay the deposit.
- Only these terms and the quote apply. Terms in your purchase orders or other documents do not, unless we agree to them in writing.
- Prices shown on our website are starting prices and are not an offer; the quote sets the price.
3. Prices, VAT and other taxes
- All prices exclude VAT and other sales taxes. We add VAT where it applies at the rate in force when we invoice.
- If you are a business in the European Union, our services are normally subject to the reverse charge: you account for VAT in your country, and you give us your VAT number. If you are in Switzerland, you account for any import tax on services under Swiss law.
- If you are in the United States or elsewhere, any sales, use or similar tax due on your purchase is payable by you.
- You pay in the currency of the quote, without deductions. If the law requires you to withhold tax, tell us before you pay so we can apply any relief available under a tax treaty.
- Third-party costs, such as domain names, paid plugins, stock images or AI usage, are passed on at cost unless the quote includes them.
4. Payment
- For one-off projects we invoice 50% when you accept the quote and 50% when the work is delivered, unless the quote sets other stages.
- Monthly plans are invoiced monthly in advance.
- Invoices are due within 14 days.
- If an invoice is late we may charge interest and fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and, after giving you 14 days’ written notice, pause the work or the services until it is paid.
5. What we do
- We carry out the services with reasonable care and skill, as described in the quote, and keep you informed in plain language.
- We may use trusted specialists to help us. We remain responsible for their work.
- Dates in the quote are our best estimate. They depend on you giving us what we need on time (section 6).
6. What you do
- Give us the content, access, decisions and feedback we need, on time.
- Make sure the content you give us (text, images, logos, product claims, prices) is accurate, lawful and yours to use, or that you have permission to use it.
- Keep your passwords and accounts secure and tell us if you think someone else has accessed them.
- Remain responsible for your own business’s legal duties, such as your privacy notice, your terms with your customers and any licences your trade needs. We can help draft these, but you approve them.
7. Changes to the work
If you want something not covered by the quote, we will tell you what it costs and how it affects the timeline before we start it. Changes apply once we have both agreed them in writing.
8. Review, approval and launch
- We share the work for review at the stages set out in the quote.
- You have 10 working days from delivery to tell us about anything that doesn’t match the agreed scope. After that, or as soon as you use the work in live operation, it is treated as approved.
- For 30 days after launch we fix, at no charge, anything that doesn’t work as agreed.
9. Monthly plans
- A plan starts on launch, or on the date in the quote, and renews every month.
- Either of us can cancel a plan by giving 30 days’ written notice. There is no minimum term unless the quote says so.
- Each plan includes what its description and the quote say, with changes up to the time stated in the quote. Extra work is charged at the hourly rate in the quote.
- We use reputable hosting, take backups and monitor your services, but we cannot guarantee they will never be interrupted. If something fails, we restore it as quickly as we reasonably can.
10. Third-party services
Domains, hosting, email, payment services, app stores, AI models and plugins are provided by third parties under their own terms. Where possible we register them in your name. We are not responsible for a third party’s failures or for changes to its prices or terms, but we will help you deal with them and tell you promptly about changes that affect you.
11. AI services
- AI can produce wrong or incomplete answers. We design assistants and automations with safeguards: they work from information you approve, say when they are unsure and pass decisions that matter to a person.
- You remain responsible for checking AI output before relying on it for important decisions, and for how you use it.
- Where the law requires people to be told they are dealing with AI, for example under the EU AI Act, we build that disclosure in. You agree not to remove it.
- We don’t use your data to train AI models, and we choose providers whose business terms say they won’t either.
12. Who owns the work
- When you have paid in full, you own the work we create specifically for you, such as designs, written content and code, and we assign our rights in it to you.
- We keep ownership of our existing tools, templates, know-how and general-purpose code. We give you a permanent, worldwide, royalty-free licence to use them as part of your work, which you may transfer with it.
- Open-source components, fonts, stock images and plugins remain under their own licences.
- Until you have paid in full, you may use the work for review only.
- We may show the work in our portfolio and add a small “Developed by LGR Labs” credit, unless you ask us not to.
13. Confidentiality
We both keep confidential information we receive from the other private and use it only for our contract. This doesn’t apply to information that is public, that we already had or that the law requires us to disclose.
14. Data protection
We both comply with data protection law. When we process personal data on your behalf, such as your customers’ details in a website, automation or AI assistant we run for you, we do so as your processor under the data processing terms in Schedule A. Our privacy policy explains how we use our own contacts’ data.
15. Our liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow to be limited.
- We are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss. We are not liable for loss of data beyond restoring it from our latest backup.
- Otherwise, our total liability under each contract is limited to the amount you paid us under it in the 12 months before the event giving rise to the claim.
- Figures from our return-on-investment calculator and any forecasts we give are estimates to help you decide. They are not a promise of results.
16. If you are a consumer
- You have the right to cancel within 14 days of the contract starting, without giving a reason, by telling us clearly (an email is enough).
- If you ask us to start work within those 14 days and then cancel, you pay for the work done up to the moment you tell us.
- Sections 3 (withholding), 4 (statutory late-payment compensation), 8 (deemed approval) and 15 (limits on liability) apply to you only as far as consumer law allows.
- You keep the protection of the mandatory consumer law of the country where you live, and you can bring a claim in its courts.
17. Ending the contract
- Either of us can end the contract by written notice if the other seriously breaks it and doesn’t put it right within 14 days of being asked, or becomes insolvent.
- When the contract ends, you pay for the work done up to that date, and we hand over everything you have paid for, with your data, in a commonly used format.
18. Events outside our control
Neither of us is responsible for delays or failures caused by events outside our reasonable control, such as a major outage at a provider, a natural disaster or government action. If such an event lasts more than 30 days, either of us may end the affected services by written notice.
19. General
- These terms and the quote are our whole agreement about the services. Changes must be in writing.
- If a court finds part of these terms invalid, the rest still applies.
- Not enforcing a right straight away doesn’t mean giving it up.
- Neither of us may transfer the contract without the other’s consent, except that we may use specialists under section 5.
- No one else has rights under the contract under the Contracts (Rights of Third Parties) Act 1999.
- The UN Convention on Contracts for the International Sale of Goods does not apply.
- We may send notices by email. These terms are published in several languages; if they differ, the English version prevails, unless the law where you live says otherwise.
20. Law and courts
The contract is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute. If you are a consumer, section 16 applies. Before going to court, please contact us: most problems can be sorted out quickly.
Schedule A: Data processing terms
These terms meet Article 28 of the UK GDPR and the EU GDPR, and the equivalent rules of the Swiss Federal Act on Data Protection.
- Scope. We process personal data on your behalf to build, host, maintain and run the websites, automations, AI assistants and software described in the quote, for as long as we provide them. The data usually consists of contact details, messages, bookings, orders and account details of your customers, prospects and staff, as set up for your project.
- Instructions. We process the data only on your documented instructions, which are the contract and anything you ask in writing, unless the law requires otherwise. We tell you if we think an instruction breaks data protection law.
- Confidentiality. Everyone who handles the data for us is bound by confidentiality.
- Security. We take appropriate technical and organisational measures, including encryption in transit, access control, two-factor authentication and backups.
- Sub-processors. You authorise the sub-processors we use for your project, which are named in the quote or on request (for example Cloudflare for hosting, Resend for email delivery and the AI provider chosen for your project). We give them the same data protection obligations and tell you in advance about any new sub-processor, so you can object.
- Transfers. If data is processed outside the UK or the EU, we use an adequacy decision or standard contractual clauses with the UK International Data Transfer Addendum.
- Assistance. We help you respond to requests from people exercising their rights and, where relevant, with security, data protection impact assessments and consultations with authorities.
- Breaches. We tell you without undue delay, and aim to do so within 48 hours, after we become aware of a personal data breach affecting your data, with the information you need to meet your own obligations.
- End of the services. When the services end, we return the data to you or delete it, as you choose, unless the law requires us to keep it.
- Audits. We give you the information needed to show we comply with these terms and allow reasonable audits, with reasonable notice and at your cost.
